Terms of Service

1. Introduction & Acceptance
By accessing or using TWZRD (the "Protocol" or "Service"), including the interfaces at app.twzrd.xyz, defi.twzrd.xyz (the DeFi gateway), and api.twzrd.xyz (collectively, the "Interface"), you agree to these Terms. If you do not agree, do not use the Service.
Material Changes: We may update these Terms at any time. If we make material changes, we will provide notice through the Interface and update the "Last Updated" date. Your continued use constitutes acceptance.
1.1. Autonomous Agents & AI Actors
If you access or interact with the Protocol using autonomous software, artificial intelligence, or algorithmic agents ("Agents"), including agents acting on your behalf, the natural person or legal entity that deployed, controls, or primarily benefits from the Agent is deemed the "User" and is fully bound by these Terms. You accept full liability for all actions, transactions, signatures, and errors executed by your Agents.
2. Token Classification & Distribution
TWZRD is a decentralized attention oracle on Solana (program ID GnGzNdsQMxMpJfMeqnkGPsvHm8kwaDidiKjNU2dCVZop). The protocol distributes CCM (Creator Content Merkle) tokens as rewards ("Rewards").
- Digital Commodity: CCM tokens are utility instruments intrinsically linked to the programmatic functioning of the network. They represent a measure of verified attention and are consumptive in nature.
- Rewards Are Earned: CCM distributed by the Protocol as Rewards is earned through network participation and contributions (attention/engagement signals). You are not required to purchase CCM to use the Service or to earn Rewards.
- Secondary Markets: CCM is transferable and may be acquired through third-party secondary markets. Liquidity may be provided by independent third parties or the Protocol treasury. Secondary-market transactions are initiated by you via your own wallet and are subject to third-party protocol risks.
- No Reliance on Management: TWZRD makes no promises regarding CCM's market price, value, liquidity, or availability. If you acquire CCM on a secondary market, you do so at your own risk and without expectation of profit derived from TWZRD's managerial efforts.
- Not a Stablecoin: CCM tokens are not payment stablecoins. They are not pegged to any fiat currency, are not 1:1 redeemable for U.S. dollars, and are not backed by bank deposits. You should not expect price stability.
3. Eligibility & Sanctions Compliance
- Age: You must be at least 18 years old.
- Sanctions: You warrant that you are not located in, organized in, or a resident of any country or territory subject to comprehensive U.S. sanctions (see OFAC Sanctions Programs), nor are you on any U.S. government sanctions list (SDN, Entity List).
- Interface Screening: While the Protocol is permissionless code, TWZRD (as the operator of the web interface) reserves the right to implement screening measures and to restrict or block wallet addresses associated with illicit activity or sanctions, consistent with applicable AML/CFT guidance for interface operators. The scope and implementation of such measures may evolve over time.
4. Decentralized Protocol & Developer Liability
- Non-Custodial: TWZRD is a non-custodial software protocol. We do not hold, control, or transfer your assets. Optional features (e.g., gasless claims) do not grant TWZRD custody of your funds.
- Publisher of Code: Consistent with the principles of software publication and free speech, TWZRD developers are "non-controlling" software providers. We are not money transmitters, brokers, or exchanges.
- Limitation of Liability: In line with applicable legal principles regarding software publication, you acknowledge that TWZRD developers merely publish code and do not intermediate trades or assume fiduciary duties. We are not liable for losses resulting from smart contract bugs, blockchain failures, or third-party exploitation.
5. Prohibited Activities (AML & Scraping)
You agree not to use TWZRD for money laundering, terrorist financing, sanctions evasion, or any activity that would violate the U.S. Bank Secrecy Act.
- TWZRD Data Definition: "TWZRD Data" means (1) data you access via the Interface (including HTML, UI text, compiled pages, response payloads), (2) data accessed via TWZRD-operated APIs, and (3) off-chain engagement signals and derived datasets produced by TWZRD systems.
- Automated Access / Scraping: Automated interaction with TWZRD smart contracts is permitted. However, automated extraction of TWZRD Data from the Interface or APIs (scraping) is strictly prohibited. You may not use bots, scrapers, crawlers, or agents to extract, harvest, or compile TWZRD Data for training AI/ML models unless expressly authorized under a TWZRD Data License. We may implement rate limits, access controls, and technical measures to enforce this provision.
6. Protocol Integrity & Anti-Gaming
You must not manipulate the oracle via bots, scripts, or Sybil attacks. TWZRD utilizes off-chain heuristics to protect the treasury. Flagged activity may be disqualified without notice.
Appeals: If you believe you were incorrectly flagged, you can request review by contacting us at privacy@twzrd.xyz. We may require cryptographic proof of wallet ownership to process your appeal.
7. Reward Distribution
- Earned, Not Purchased: Rewards are distributed solely for verifiable engagement.
- Mechanics: Scoring aggregates off-chain engagement signals and hashes them into Merkle trees; only roots/proofs are published on-chain.
- No Guarantee: Distribution amounts, epochs, and parameters may change, be suspended, or end without notice.
8. User Responsibilities & Risks
- Wallet Connection: The Service may request that you sign messages (to prove ownership) and transactions. You are solely responsible for reviewing any message or transaction before approving it.
- Private Keys: We do not have access to your private keys or seed phrase. We cannot recover funds if you lose access.
- Tax Compliance: You are responsible for determining any tax obligations. Based on the non-custodial nature of the Protocol, TWZRD does not provide tax reporting forms (1099s) unless explicitly compelled by law.
- Transaction Finality: On-chain transactions are irreversible. Verify all data before signing.
9. User Submissions
If you submit external content links, tags, or metadata to the Protocol ("Submissions"):
- License & Rights: You grant TWZRD a non-exclusive, worldwide, royalty-free license to index, display, categorize, and use your Submissions within the Interface and Protocol. You represent that you have the right to share the Submission and that it does not violate third-party rights or terms.
- Discretionary Inclusion: TWZRD reserves the right to accept, reject, or remove any Submission at its sole discretion for any reason. Users may not rely on inclusion, retention, or specific incentive parameters as a promise.
- No Guarantees: The acceptance of a Submission does not guarantee that it will be eligible for specific Rewards or multipliers. Protocol parameters regarding incentives may change at any time.
- No Employment: Submitting content is voluntary. Receiving programmatic rewards does not create an employment, agency, or contractor relationship with TWZRD.
10. Third-Party Integrations & DeFi Risks
The Service integrates with and links to third-party platforms. By using the Service, you acknowledge:
A. DeFi Protocols (Liquidity & Swaps)
The Interface may link to or integrate with third-party DeFi protocols (e.g., Meteora, Jupiter, or other liquidity/farming pools). The defi.twzrd.xyz gateway provides swap functionality powered by Jupiter, a third-party decentralized exchange aggregator on Solana.
- No Control: TWZRD does not operate, control, audit, or guarantee these protocols.
- Risk Warning: Participation in these pools involves significant risks, including smart contract risk, impermanent loss, slippage, price volatility, and UI spoofing.
- Own Risk: You interact with these third-party protocols entirely at your own risk. TWZRD is not liable for any funds lost in third-party pools or swaps.
- Jupiter Integration: Swap requests submitted through defi.twzrd.xyz are proxied through TWZRD-operated API infrastructure to the Jupiter aggregator. TWZRD does not custody funds, modify swap parameters, or take fees on these transactions. Your use of Jupiter is subject to Jupiter's own terms and conditions.
B. Platform Integrations
- Phantom / Phantom Connect: The Service supports wallet connection via Phantom Connect. Private keys are never exposed to TWZRD. Your use is subject to Phantom Terms of Use.
- Twitch: TWZRD processes publicly available chat and engagement metadata from Twitch channels to validate participation and compute rewards. If you link your Twitch identity, your Twitch username is stored in association with your wallet address. You may unlink your account at any time. Your use of Twitch features is subject to the Twitch Terms of Service.
- Platform Beneficiaries: Applicable platform providers are third-party beneficiaries of these platform integration provisions and of the Privacy Policy provisions that apply to their respective platform data, and may enforce them accordingly.
- Additional Platform Integrations: TWZRD may introduce integrations with additional third-party platforms over time. When a new integration becomes available, TWZRD will update these Terms to include the relevant third-party terms and conditions. Your use of any future integration will be subject to both these Terms and the applicable third-party terms of service and privacy policies.
C. No Affiliation
TWZRD is an independent protocol. We are not affiliated with, endorsed by, or partnered with any third-party platform, wallet provider, or DeFi protocol referenced in these Terms.
11. No Warranties & "As-Is"
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE PROTOCOL UPTIME OR IMMUNITY FROM BLOCKCHAIN-SPECIFIC RISKS.
Oracle Risk: TWZRD relies on probabilistic proofs of attention and third-party API signals. We do not guarantee the accuracy, completeness, or timeliness of any engagement signal, reward calculation, or Merkle proof. You rely on the Oracle's outputs at your own risk.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TWZRD, ITS DEVELOPERS, CONTRIBUTORS, AND THIRD-PARTY PARTNERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR FUNDS RESULTING FROM YOUR USE OF THE SERVICE.
13. Indemnification
You agree to defend, indemnify, and hold harmless TWZRD and its contributors from any claims arising from your use of the Service, your violation of these Terms, or your violation of applicable laws.
14. Open Source & Licensing
The protocol code is public under MIT/Apache 2.0 licenses at github.com/twzrd-sol. Independent usage of the smart contracts outside of this Interface is at your own risk and not governed by these Terms.
15. Governing Law & Dispute Resolution
These Terms shall be governed by the laws of the State of Delaware, without regard to conflict of law principles. Any dispute arising from these Terms shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, conducted on an individual basis. You waive any right to participate in a class action.
16. Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in effect.
17. Modifications
We may update these Terms at any time. Your continued use of the Service after changes constitutes acceptance. If we make material changes, we will post notice on the Interface and update the date at the top of these Terms.
18. Relationship of Parties
Nothing in these Terms shall be construed as creating a partnership, joint venture, agency, or employment relationship between you and TWZRD. You are an independent participant in a decentralized protocol. You are solely responsible for your own hardware, internet connection, and tax reporting obligations.
19. Accessibility
- Commitment: TWZRD is committed to ensuring digital accessibility for people with disabilities. We aim to conform to the Web Content Accessibility Guidelines (WCAG) 2.2, Level AA.
- Status: We aim to maintain sufficient color contrast and the Interface is designed to support text resizing. We test with automated tooling and manual checks and are expanding structured screen reader testing.
- Accommodations: If you experience difficulty accessing any content on this site, or require this document in an alternative format, contact us at privacy@twzrd.xyz. We will work with you to provide the information in a format that meets your needs.
